1. Acceptance of Terms
By accessing or using the Cyber Service Search platform (the "Platform"), including the website located at www.cyberservicesearch.org and all associated services, features, and content (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.
These Terms constitute a legally binding agreement between you ("you" or "User") and Riverbend Advisory, LLC ("Riverbend," "we," "us," or "our"), which operates Cyber Service Search as part of the SC3 Initiative, a fiscally sponsored project of the Center for Critical Infrastructure Security, Inc. ("CCIS"), a Maryland 501(c)(3) nonprofit organization.
The Platform is intended for business use by organizations and their authorized representatives within the United States. By using the Platform, you represent that you are accessing it on behalf of a U.S.-based organization and that you have the authority to bind that organization to these Terms. "You" refers to both you individually and the organization you represent.
2. Description of the Platform
Cyber Service Search is a free online directory that connects organizations, like nonprofits, small municipalities, tribal governments, and small businesses ("Buyer Organizations"), with IT managed service providers (MSPs), managed security service providers (MSSPs), and security consultants ("Providers") that want to serve those organizations. This means, in many cases, those Providers offer free, discounted, or specially tailored cybersecurity services.
The Platform facilitates discovery and introductions between Buyer Organizations and Providers. We do not provide cybersecurity services, do not act as a party to any contract between Buyer Organizations and Providers, and do not guarantee the quality, suitability, safety, or legality of any services listed on the Platform.
The Platform uses AI-assisted search and a structured matching quiz to help Buyer Organizations identify relevant Providers. You acknowledge AI can make mistakes, and AI-generated results and quiz match scores are informational only. All decisions to engage a Provider are made entirely by the Buyer Organization.
3. Access and Verification
The Platform is intended for use by business organizations based in the United States. You must be at least 18 years of age to use the Platform. We reserve the right to refuse or revoke access to any user who does not meet these requirements or who misuses the Platform.
To access the full provider directory, map, and AI-powered search features, you must verify your identity by providing a valid business email address. When you submit your email, we send a one-time sign-in link to your inbox, and clicking the link signs you in. This is not a traditional account with a username and password; it is a verification step to protect provider data from unauthorized scraping and misuse. Your authentication session is stored only in your browser's session storage and is cleared when you close your browser, so closing your browser signs you out.
To help reduce abuse, we reject signups from email addresses on a public list of disposable email providers. If your legitimate email is rejected as disposable, contact us at [email protected].
4. Buyer Organization Terms
4.1 Use of the Platform
Buyer Organizations may use the Platform to search for and discover Providers, review Provider profiles and service listings, and contact Providers directly. Use of the directory, map, and AI search features requires email verification.
4.2 No Obligation
Browsing or contacting a Provider through the Platform does not obligate you to engage that Provider or enter into any contract. Any agreement between a Buyer Organization and a Provider is solely between those parties and is not governed by these Terms.
5. Provider Terms
5.1 Provider Listings
Providers may submit their organization for listing on the Platform through the provider submission form. All submissions are subject to administrative review and approval. Submission does not guarantee listing. Approved listings will display the Provider's name, services, geographic coverage, industries served, and any under-resourced organization offers. We reserve the right to decline to list or to remove a Provider from the Platform at our sole discretion.
5.2 Accuracy of Information
All information included in provider submissions must be accurate, current, and not misleading, and by submitting a listing, you guarantee that the information is accurate, current and not misleading. You can update your listing by making another provider submission through the form or by contacting [email protected]. Providers are solely responsible for the content of their listings. Providers that advertise discounted, free, or specially priced services for nonprofits, municipalities, tribal governments, territorial governments, or small businesses must ensure that such representations are truthful and that the advertised terms are honored when a Buyer Organization contacts the Provider through the Platform. Inaccurate or misleading listings may be removed without notice.
5.3 Current Pricing
The Platform is free for all Providers to list their services, but we reserve the right to introduce additional paid listing tiers, premium placement, or other fee-based services in the future. Any such changes will be communicated in advance and will not affect existing free listings.
5.4 Verification and Badges
We may offer "Verified" or similar badges to Providers that meet specified criteria. These badges represent our assessment based on information available at the time of verification and do not constitute an endorsement, warranty, or guarantee of the Provider's services. We may revoke badges at any time if a Provider no longer meets the applicable criteria.
6. Acceptable Use Policy
You agree not to use the Platform to:
- Post or transmit any content that is false, misleading, defamatory, harassing, obscene, or otherwise objectionable.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Collect or store business or personal data of other users without their express consent.
- Scrape, crawl, or use automated means to access, index, or extract data from the Platform without our prior written consent.
- Interfere with or disrupt the Platform, servers, or networks connected to the Platform.
- Attempt to gain unauthorized access to any part of the Platform, other users' data, or connected computer systems.
- Use the Platform to distribute malware, engage in phishing, or conduct any form of cyberattack.
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
- Use verified access to compile Provider data for competing services, AI model training, unsolicited marketing, or any purpose other than finding cybersecurity services for your organization.
- Post fraudulent provider listings or misrepresent the nature, pricing, or availability of services.
We reserve the right to revoke access for any user who violates this Acceptable Use Policy.
7. Intellectual Property
7.1 Our Intellectual Property
The Platform, including its design, features, functionality, content, and all associated intellectual property rights, is owned by Riverbend or its licensors. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.
7.2 User Content
You retain ownership of any content you submit to the Platform ("User Content"), including Buyer Organization prompts and searches, provider listings, and organization profiles. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free right and license to use, display, reproduce, and distribute your User Content solely in connection with operating and promoting the Platform.
The right and license to use User Content from Providers will cease when a Provider is removed from the Platform or when the Provider chooses to remove their profile, except that we may continue to use User Content incorporated or embedded in works already published or distributed without further use rights.
7.3 Usage Data, De-identified Data, and Feedback
Usage data and de-identified data, which do not identify and cannot reasonably identify specific users or entities is not considered User Content. You acknowledge that we own and have all rights, title, and interest in and to platform usage data and de-identified data. Usage data and de-identified data may be used to maintain and improve the services or for internal or public reporting.
If you provide us with suggestions, ideas, or other feedback regarding the Platform ("Feedback"), you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback without obligation to you. If you want to request that your name or organization's name not be associated with Feedback, you can submit your request to [email protected], and we will use best efforts to honor such requests.
8. Disclaimers
8.1 Platform Provided "As Is"
THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, INCLUDING, BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8.2 No Endorsement of Providers
We do not endorse, certify, or guarantee any Provider listed on the Platform. The inclusion of a Provider on the Platform, or the display of any badge, does not constitute an endorsement of the Provider's qualifications, capabilities, or services. Buyer Organizations are solely responsible for conducting their own due diligence before engaging any Provider.
8.3 No Guarantee of Results
We do not guarantee that you will find a suitable Provider through the Platform, that any introduction will result in an engagement, or that any IT or security services obtained through the Platform will prevent security incidents or breaches or guarantee compliance with applicable laws, regulations, or industry standards. We do not guarantee minimum up-time standards for the Platform.
8.4 AI Search Disclaimer
The AI-powered search feature provides results based on automated analysis of your query and the available provider catalog. AI-generated recommendations may be incomplete, inaccurate, or unsuitable for your specific needs. You should not rely solely on AI search results when selecting a Provider.
9. Limitation of Liability
TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RIVERBEND, CCIS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR BUSINESS INTERRUPTION, WHETHER ARISING FROM CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF RIVERBEND, CCIS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
10. Indemnification
You agree to indemnify, defend, and hold harmless Riverbend, CCIS, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation in connection with your use of the Platform; (d) any User Content you submit; or (e) any dispute between a Buyer Organization and a Provider that arises from an introduction facilitated by the Platform.
11. Term and Termination
11.1 Term
These Terms are effective when you first access or use the Platform and remain in effect as long as you use the Platform or as long as we process your User Content in connection with your use of the Platform, whichever is longer.
11.2 Termination by You
You may stop using the Platform at any time. If you are a listed Provider and wish to have your listing removed, contact us at [email protected].
11.3 Termination by Us
We may revoke your access or remove any listing at any time, with or without cause and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, failure to honor terms or pricing offered to Buyer Organizations, or conduct that we determine to be harmful to other users or to the Platform.
11.4 Effect of Termination
Upon termination, your right to access the Platform ceases immediately. Sections 7 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Dispute Resolution), and 13 (General Provisions) will survive termination.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] and attempt in good faith to resolve the dispute informally.
12.2 Arbitration
If the dispute cannot be resolved within thirty (30) days informally, you agree that any dispute, claim, or proceeding arising from or related to these Terms or the Platform will be finally and exclusively resolved by binding arbitration administered by JAMS under its Streamlined Rules for arbitration (the "Rules"). The arbitration will be conducted by a single arbitrator appointed in accordance with the Rules. The arbitration will take place in New York, New York. Judgment on the arbitration award may be entered in any court of competent jurisdiction. The arbitrator will not be permitted to award special, exemplary, or punitive damages. Nothing in this section is intended to prevent a party from seeking declaratory or injunctive relief in a court of competent jurisdiction.
12.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND AS A PLAINTIFF OR MEMBER OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
An arbitrator may consolidate more than one person's claims if we consent to such consolidation in writing. If a court or arbitrator decides that applicable law precludes enforcement of any of this paragraph's limitations as to a particular claim for relief or request for relief (such as a request for public injunctive relief) and all appeals have been exhausted or the decision is otherwise final, then the parties agree that such a claim or request for relief will be decided by a court only after all other claims and requests for relief have been arbitrated.
13. General Provisions
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.
13.2 Entire Agreement
These Terms constitute the entire agreement between you and Riverbend regarding your use of the Platform, and supersede all prior agreements and understandings.
13.3 Amendments
We may modify these Terms at any time by posting the revised Terms on the Platform. Material changes will be communicated via a prominent notice on the Platform at least 30 days before they take effect. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the modified Terms.
13.4 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
13.5 Waiver
No waiver of any term or condition of these Terms will be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right under these Terms shall not constitute a waiver of such right.
13.6 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
13.7 Force Majeure
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including, but not limited to acts of God, natural disasters, pandemics or epidemics, war, terrorism, labor disputes, civil unrest, government actions, power failures, internet or infrastructure disruptions or outages, or cyberattacks.
